Job Description

This is a fully remote role for candidates who are based outside of the New York Metropolitan area. For those located in the area, we encourage you to consider our hybrid work arrangement (1-2 days a week in our NYC office). Energy storage is the key to unlocking a future where our world is powered by renewable resources. At Convergent Energy and Power, our mission is to make the electrical grid cleaner, more reliable, and less expensive by leveraging state-of-the-art energy storage and distributed generation technologies.

Counsel will work closely with, and as part of, Convergent’s fully collaborative legal team to continue to build a commercially savvy and nimble legal function to scale the business and manage its risk. In this role, Counsel will engage directly and build strong working relationships with internal clients across the business, advising on sales, development, engineering, procurement, construction, operations, and asset compliance/management of stand-alone storage, hybrid storage, and distributed generation solar projects, as well as other project, financing, general corporate, and regulatory matters, as needed.

What You’ll Do

  • Sales amp; Origination support: provide legal advice and drafting support to the business development teams in structuring and responding to requests for proposals and negotiating MOUs with utilities and commercial/industrial counterparties.
  • Project Development and Execution support: work closely with internal clients across the business for the drafting, review, and negotiation of a variety of project development agreements (including permitting and interconnection matters, site control agreements, construction contracts, engineering and procurement agreements, operations and maintenance/service agreements, financing agreements, offtake agreements, and PILOT agreements) to support the development of a portfolio of storage only, solar and solar plus storage projects throughout North America.
  • Operations and Asset Management: support the ongoing operations and maintenance of assets in the Company’s portfolio, to include managing or supporting dispute avoidance/resolution matters (as needed), warranty claims, and contract compliance.

    General Legal functions:
  • Support on identifying and addressing the general corporate needs of the business, including People-related matters, corporate authority and governance issues, entity management, regulatory disclosures, risk analysis and mitigation, KYC, ABC, and ESG, and developing and supporting the implementation of best practice.
  • Assist in identifying, appointing, and managing outside legal counsel for transactions, general corporate and regulatory matters.
  • Support and provide guidance on legal operations matters that assist with the development and growth of the legal function within the business.
  • Develop and maintain effective working relationships with the internal finance, accounting, tax, compliance and People functions in order to support and optimize those functions.

Requirements

Required Qualifications

  • Law degree with strong academic credentials, and bar admission in at least one US state
  • 3-5 years’ post-admission experience in a transactional role with a law firm
  • Strong and well-rounded legal skillset, to include legal drafting, research, creative problem-solving, attention to detail, commercial acuity and effective verbal and written communication skills
  • Strong organizational skills and ability to manage multiple and varied tasks simultaneously, prioritizing as appropriate
  • A pragmatic and engaging adviser with excellent communication skills, able to effectively navigate high pressure environments
  • A keen command of what drives key stakeholder decisions, and an ability to identify, analyze and mitigate key commercial issues and risks
  • A sound understanding of dispute avoidance / mitigation best practices
  • Strong advocacy and negotiation skills
  • A strong sense of initiative, curiosity and willingness to learn, and enthusiasm to make a valuable contribution to Convergent’s mission
  • Fluency and exceptional writing skills in the English language
  • Fluency in Microsoft Word and Adobe Pro
