Job Summary:
ERII is seeking a qualified candidate for an immediate full-time job opening for the position of Corporate Paralegal, with the Legal team in the San Leandro, CA facility. This position is responsible mainly for the duties and responsibilities listed below.A suitable candidate will have a minimum of 7 years of corporate paralegal experience (law firm and/or in-house).Major Duties Responsibilities
  • Prepare and/or revise drafts of legal documents for attorney review, including but not limited to non-disclosure agreement, purchase orders, purchase contracts, service agreements and statements of work
  • Management of the Company’s electronic database and paper records, including the Company’s contract management database
  • Upkeep corporate policies and procedures
  • Track and assist annual report filings for corporate entities
  • Assist with the preparation of public company filings including annual Proxy Statement
  • Organize company’s Annual Shareholders Meeting
  • Maintain corporate minute books and corporate records database
  • Liaise with corporate agents and prepare all documentation necessary for governmental filings in accordance with local, state, national and international requirements for business operations
  • Respond to audit and due diligence inquiries
  • Work with other internal departments and outside counsel and agents on corporate and legal matters
  • Assist legal team in all aspects of legal support and special projects
  • All other projects and duties as assigned
Required Knowledge and Skills
  • At least 7 years of corporate paralegal experience law firm experience or in-house experience with public company preferred
  • Bachelor degree
  • Strong verbal and written communication skills
  • High proficiency in MS Office (Word, Excel, Outlook, PowerPoint)
  • Experience in contract management systems
  • Strong work ethics
  • Work well both independently and in a team
  • Adapt to changing priorities and a wide variety of responsibilities in a dynamic environment
  • Extremely detail-oriented
  • Self-starter and strong sense of ownership
  • Positive can-do attitude
The below range is the range that we reasonably believe to be the range of possible compensation for this role at the time of this posting. We may ultimately pay more or less than the posted range and this range is only applicable for jobs to be performed in California. This range may be modified in the future.
