What You Will Be Doing:

Technical and Functional:

Expertise. Counsel should have experience in representing sponsors and investors in private investment funds and will have completed fund formation transactions (including SPVs, managed accounts. series LPs or other such bespoke structures), sponsor-level transactions (involving the general partner and management company entities) and secondary transactions involving limited partner and/or portfolio company interests, and as such, have familiarity with various issues arising under the Securities Act of 1933, the Securities Exchange Act of 1934, the Investment Advisers Act of 1940, and the Dodd-Frank Wall Street Reform and Consumer Protection Act of 2010, in the context of such transactions. Counsel should also have experience completing regulatory filings and undertaking regulatory compliance specifically under the Investment Advisers Act of 1940 (with RIA related experience seen as a bonus). Venture capital fund and/or Silicon Valley experience would be a significant plus.

Scale. Oversees the improvements of fund related workflows and processes as well as implementation of such procedures by team members. Participates in established regulatory processes with moderate guidance and suggests and implements improvements to these processes.

Autonomy and Execution:

Autonomy. Participates in established legal processes (e.g., can process form agreements, distill advice from outside counsel or otherwise coordinate within functional areas). Other than discussion of context, does not require any guidance from manager and is a self starter managing projects from end to end relatively independently. Engages with external counsel independently as the matter requires.

Judgment. Has the experience and expertise to make recommendations to business teams and take matters forward with minimal oversight. Can be trusted to make calls on basic legal matters requiring definitive decisions and detect significant issues which may require further guidance from external counsel or internal business teams. Demonstrates ability and success in applying methods or processes taught or previously learnt to new situations, with awareness to adapt for circumstantial variances as needed.

Communication. Communicates professionally, clearly and on a timely basis with various stakeholders such as commercial teams, external clients and outside counsel, thinking ahead on the priority or order of these engagements to ensure efficient and results driven outcomes. Always mindful that this position may sometimes be a frontline representative of the organization and importance of preserving brand value in any actions.

Execution. Completes all assigned tasks and manages own timeline for project completion. Proactively follows up with stakeholders in a sensitive and professional manner, and proactively keeps their manager updated. Does not let blockers linger and escalates issues as necessary.

Able to communicate effectively with business team members to deliver quality work which meets regulatory constraints. Can handle Funds projects without any supervision without incurring excessive external legal costs.
