Job Description

We are looking for a half-time Legal Counsel to join our Finance and Enabling Infrastructure (FEI) team. Our FEI team is responsible for finance, legal and platforms across SecondMuse entities (US and international), and serves as a supportive infrastructure for our project teams to create lasting impact across the globe. The Legal Counsel will oversee legal policies; client, vendor, employee and program-related contracting across our global locations; government filings; insurance; and risk assessment and mitigation. The ideal candidate has a JD, and 3+ years of experience in corporate law, including prior in-house legal experience. This position will be based in Portland, OR or Albuquerque, NM and will report to our CFO.


Essential Functions

  • Managing organization's legal matters
  • Refining internal policies on legal matters and regularly monitoring compliance
  • Drafting agreements, contracts and other legal documents and collaborating with internal stakeholders to negotiate contracts on behalf of the company
  • Advising executive, senior management and board on various matters such as legal rights, new and existing laws and potential conflicts of interest
  • Managing and overseeing the organization’s contracting processes and systems
  • Advising and assisting program managers in identifying and mitigating risk
  • Liaising with outside counsel when needed
  • Evaluating and managing organization’s insurance policies
  • Managing government filings and compliance requirements
  • Working closely with internal departments including those responsible for financial and HR issues
  • Ensuring the maintenance and updating of existing contracts and templates


Work Environment / Travel

This role is a half-time, remote position. Light domestic and international travel is required (pending COVID-19). The candidate will ideally be based in Portland, Oregon or Albuquerque, New Mexico.

Requirements

  • Proven experience as a legal counsel in business environment
  • Excellent knowledge and understanding of corporate law and procedures
  • High degree of professional ethics and integrity
  • Sound judgement and ability to analyse situations and information
  • Outstanding verbal and written communication skills
  • Highly analytical with a strong attention to detail
  • Proficient understanding of business sensitivities and confidentiality
  • BSc degree in Law or J.D. degree
  • 3+ years experience as a corporate lawyer
  • Personal qualities of integrity, credibility, and commitment to company vision and values
  • Able to work remotely within an ambiguous, fast-moving environment, while moving towards clarity and focus;
  • Demonstrated resourcefulness in setting priorities
  • Added value: Legal experience in venture financing and/or non-profit law
