Position SummaryWe are looking for an experienced commercial counsel to join as our second legal hire. This position will be a remote role, but the individual should be located in the Eastern time zone, preferably in New York, Atlanta, Boston, or D.C. In this role, you will support the growth of inbound and outbound contracts and work closely with Harness’s Sales Team, as well as other key business teams to guide contracts through review, negotiation and signing. This job is for you if you are a talented and creative attorney who is passionate about working on sophisticated contracts and closing deals, you enjoy and thrive in a fast-paced environment, you work well with sales reps in particular and a wide-range of personalities in general. You must be dedicated to providing excellent customer service, have zealous attention to detail, along with excellent judgment and people skills. We are also looking for someone eager to be a contributing member of a fun, supportive and high functioning team.KEY RESPONSIBILITIES
  • Structure, draft, and negotiate a broad range commercial agreements, including sales, partner, supplier, marketing, NDAs, and other commercial agreements
  • Advise internal clients regarding legal issues, including identifying, managing, and communicating risks and opportunities in commercial transactions
  • Assist with the development of standard template language to be used in contracts, ancillary documents and associated playbooks
  • Collaborate with teams across Harness, including sales, finance, marketing, engineering, and HR
  • Support the continuous improvement of Harness and the Legal team by identifying and implementing improvements in processes, policies, forms, and operations
  • Identify and evaluate business and legal risks, and find creative ways to mitigate them while achieving business goals
ABOUT YOU
  • JD degree and must be admitted to the bar and in good standing to practice law in the state in which you reside
  • 4-6 years of experience as a practicing attorney, including at least 4 years at a top-tier law firm or in-house legal department negotiating complex technology transactions (e.g., SAAS etc.)
  • Ability to structure, draft and negotiate a high volume of contracts such as master services agreements, partner agreements, supplier agreements, NDAs, and other commercial transactional agreements
  • Experience supporting medium to large sales organizations selling to an enterprise customer base (e.g., F500, G2000) along with medium and small companies
  • Proven ability to provide entrepreneurial, quick-thinking, pragmatic, business-oriented advice and to properly balance risks and business reward with a dedication to superior customer service
  • Ability to triage a heavy workflow, setting appropriate expectations with internal clients and delivering results efficiently and effectively
  • Excellent analytical, communication and organizational skills, and demonstrated ability to manage several simultaneous projects under deadline pressure
  • Experience with Salesforce, Microsoft Office, Google Docs, Outlook, Adobe Acrobat Pro, and DocuSign
  • Terrific sense of humor, disdain for drama, interested in learning new things, and desire to get things done
  • Experience in the DevOps industry is a plus
  • Experience using a contract lifecycle management system (i.e. Ironclad, Apttus, Icertis etc.) is a plus
  • Experience in another specialist subject area of law (for example, employment, data privacy, intellectual property, or corporate) is a plus
  • Professionally proficient in Spanish is a plus
