Job Description

What you will be doing:

  • Join Ovia’s Operations team as temporary counsel June through December 2021. Combination of part time and full time hours during this period. Exact dates and schedule may be flexible.
  • Review (or facilitate review as needed) of customer, partner, and vendor contracts that come in and out of the company (e.g., MSAs, SOWs, NDAs, BAAs), ensuring that contracts adhere to internal standards and meet deadlines; work directly with internal stakeholders and customers to resolve contracting issues in a productive and positive way.
  • Serve as a general legal resource across the company, managing and responding to legal requests; research legal and regulatory matters; contribute to decisions as they relate to legal issues, including supporting and advising on new business needs and product concepts.
  • Manage use of the company’s outside counsel, including coordinating reviews of contracts and other issues as needed.
  • Escalate privacy/security issues to and work collaboratively with the company’s Lead Privacy Counsel.

What we are looking for:

Required

  • JD and state bar admission.
  • 3+ years experience as an attorney in a law firm or as in-house counsel.
  • Substantial prior experience reviewing, negotiating and drafting commercial contracts.
  • Enthusiasm for tackling challenges with a positive and collaborative attitude, working with teams across the company.
  • Strong analytical, writing, communication, and project management skills.
  • Ability to quickly learn and apply internal policies and procedures, and to execute sound judgement relating to business and legal decisions.

Preferred:

  • Prior in-house commercial legal experience
  • Prior experience in the healthcare or technology sectors.
  • Familiarity with HIPAA and Business Associate Agreements.
