The Role:

BCW is seeking an experienced Contract Manager to lead the preparation, negotiation and analysis of client and vendor agreements for BCW’s Healthcare Practice. They will work closely with the respective finance directors, professional staff, client staff, and Legal Department team members. This is an opportunity to approach the mitigation of risk creatively in the fast-paced world of Public Relations on behalf of one of the largest communications firms in the world. This position reports directly to the Global Chief Legal Operations Officer.

Responsibilities:

  • Draft legal documents such as NDA’s, Letters of Engagement, Terms amp; Conditions, Subcontractor and other 3rd Party agreements.
  • Analyze client or vendor drafted legal documents to determine if clauses are in compliance with B-M/WPP policies; make appropriate redlines. If contractual language is not addressed in the WPP A-Z Toolbox, consult with Global Chief Legal Operations Officer.
  • Review of client and/or vendor requested edits to prepared documents; promptly advise team lead of necessary changes and/or issues.
  • Negotiation of contractual terms on a deal-by-deal basis.
  • Ensure Sarbanes Oxley compliance with respect to all critical clauses in legal documents and contract administration guidelines, processes and procedures.
  • Interface with key internal personnel to establish work schedules and departmental priorities. Provide updates and project status on a routine basis.
  • Liaison with financial operations with respect to Purchase Order Terms amp; Conditions, vendor and client billing/payment issues.
  • Liaison with WPP insurance advisory representatives with respect to contractual requirements and certificates of insurance.
  • Conduct contractual research with respect to any legal matter, as applicable.
  • Collaborate with contract team members with respect to term expirations, potential renewals and anniversary dates. Notify business units accordingly.

In addition, the Contracts Manager may be requested to perform related departmental functions on an as needed basis.

Requirements:

  • Legal and pharmaceutical industry background with work experience in a corporate setting (agency, management consulting) and/or law firm (minimum 7 10 years)
  • Bachelor’s degree or higher, CCCM certification; JD a plus
  • Must have excellent interpersonal skills
  • Must demonstrate a high regard for the value of teamwork
  • Negotiation skills with ability to influence both internal and external clients
  • Must be proficient in use of computer programs, databases and MS Office Suite
  • Must consistently maintain a high level of accuracy with regard to all work projects
  • Must have a willingness to stay current in area of expertise and continue to learn
  • Public relations work experience a plus
  • Desire to work in a diverse and inclusive organization as an active participant in culture initiatives, training opportunities and employee resource groups
