About the Role

The Vice President, Corporate Counsel is responsible for leading the corporate legal function including general corporate matters, client contracting, employment matters, mergers and acquisitions, and intellectual property. The Vice President, Corporate Counsel provides leadership with effective advice on company strategies and their implementation, manages the legal workload, and obtains and oversees the work of outside counsel as needed. The Vice President, Corporate Counsel is directly involved in advising senior leaders and executives, negotiating critical contracts, managing Mamp;A agreements and executing the day-to-day legal needs of the business.

  • Lead corporate legal, client contracting and Mamp;A documentation initiatives for the business
  • Evaluate and maintain a legal operating structure that aligns with the business’ top priorities
  • Monitor and evaluate the impact on the business of health care law and regulation changes.
  • Evaluate and enhance policies and procedures for client contract management and administration, including drafting, reviewing and negotiating client contracts
  • Partner and provide counseling to human resources function on a broad range of employment areas including: hiring, employee relations, discipline, terminations, reductions-in-force, leaves of absence, accommodations, wage and hour compliance, contingent worker issues, organized labor matters, and government contractor related issues and topics
  • Consult with human resources regarding the formulation and revision of employment policies and guidance to ensure compliance with applicable laws
  • Identify and interpret employment law developments and changes in the law, and provide relevant summary communications and recommendations to human resources and other business partners
  • Create and maintain an effective process for identifying and protecting intellectual property rights
  • Provide leadership with effective advice on company strategies and their implementation
  • Advise management on complex business transactions and negotiating critical contracts, including financing arrangements, debt instruments and purchase agreements as needed
  • Conduct research to interpret laws, rulings and regulations and determine how Icario may conduct and grow business within them
  • Counsel leadership on the consequences of federal and state healthcare, privacy and commerce laws that affect the business
  • Engage and oversee the work of outside counsel as necessary in collaboration with other legal staff

Requirements

  • Juris Doctorate from an accredited law school
  • Licensed attorney of law in Minnesota
  • 8 to 10 years of a relevant experience at a major law firm or in-house legal department
  • Experience in health care law, general corporate law, Mamp;A, and commercial contracting
  • Must be able to articulate a point of view clearly and concisely
  • Excellent negotiation skills
  • Demonstrated ability to assess and communicate risks
  • Willing to challenge the status quo and consider all options
  • Ability to manage multiple projects in a fast-paced, hands-on environment
  • Excellent oral and written communication skills
  • Specific experience with healthcare plans including Medicare Advantage, Managed Medicaid and Commercial payers
  • Experience with HIPAA and PHI compliance requirements
  • Understanding of government programs healthcare regulatory structure
  • Previous leadership experience of professional legal staff and a proven ability to select, develop and retain top talent
  • Highly collaborative team leader
  • Ability to work independently, think on your feet and interact comfortably with senior management
